Aviat completes Redline transaction

Acquisition Delivers Complete Offering to Private Network Operators, Including Transport, Backhaul, Private LTE/5G and License-Free Wireless Access Solutions

AUSTIN, Texas and TORONTO, Ontario, July 5, 2022 – Aviat Networks, Inc. (NASDAQ: AVNW), the leading expert in wireless transport solutions, and Redline Communications Group Inc. (“Redline”) (TSX: RDL ), a leading provider of critical data infrastructure, today announced the completion of the acquisition of Redline by a subsidiary of Aviat pursuant to a statutory plan of arrangement under the Canada Business Corporations Act (the “Arrangement”), which now enables Aviat to offer its customers an integrated end-to-end offering for wireless access and transport.

The arrangement reinforces Aviat’s stated strategy to expand its market leadership and share of wallet in critical and industrial private networks, leveraging Aviat’s sales channel to address the LTE/5G private addressable market. $8 billion, as well as the oil and gas and transportation verticals. .

Aviat will include Redline in its FY23 guidance that will be provided in the next earnings call. Redline was not part of Aviat in FY22 and will not be included in Aviat’s upcoming FY22 fourth quarter results. For clarity, Aviat wants to reaffirm its previous guidance for FY22 of $296-300 million in revenue and $37-39 million in adjusted EBITDA.

The common shares of Redline (the “Common Shares”) are expected to be delisted from the Toronto Stock Exchange (the “TSX”) on or about July [7]2022 and Redline has applied to cease to be a reporting issuer under applicable Canadian securities laws.

Pursuant to the Arrangement, all of the issued and outstanding Common Shares were acquired by Aviat for consideration of CA$0.90 per Common Share (approximately US$0.72 per Common Share), as part of of an all-cash transaction.
